Doosan to Acquire SK Siltron in ₩2.3 Trillion Semiconductor Deal
Doosan Group is set to acquire SK Siltron, the semiconductor wafer manufacturing arm of SK Group, in a transaction valued at approximately ₩2.3 trillion ($1.6 billion). The move will give Doosan control of South Korea's only semiconductor wafer producer and strengthen its position across the chip manufacturing supply chain.
SK Inc. announced Friday that its board of directors approved a stock purchase agreement under which Doosan will purchase its entire 70.6 percent stake in SK Siltron. The stake consists of a direct 51 percent ownership interest and an additional 19.6 percent held through a total return swap arrangement.
The final purchase price will be determined through a post-closing adjustment process. Upon completion of the transaction, management control of SK Siltron will transfer from SK Inc. to Doosan. In a separate effort, Doosan intends to negotiate the acquisition of the remaining 29.4 percent stake currently owned by SK Group Chairman Chey Tae-won.
Established in 1983, SK Siltron is the only semiconductor wafer manufacturer in Korea and ranks as the world's third-largest supplier of 12-inch silicon wafers by market share. In 2025, the company reported revenue of ₩2 trillion and operating profit of ₩400 billion.
Semiconductor wafers are fundamental materials used as the base for integrated circuits. Since all front-end semiconductor manufacturing processes take place on the wafer surface, wafer quality plays a critical role in production efficiency and chip yields. The business is characterized by advanced technological requirements, stringent quality standards, and high barriers to entry. Globally, more than 90 percent of the silicon wafer market is controlled by five companies, including SK Siltron.
The sale is part of SK Group's ongoing business restructuring strategy, which aims to concentrate resources on core operations. After reviewing factors such as growth potential, employment stability, and deal conditions, SK Inc. selected Doosan as the preferred bidder in December 2025.
For Doosan, the acquisition represents a major step toward creating a fully integrated semiconductor value chain. The group already produces copper-clad laminates used in AI accelerators through Doosan Corporation Electro-Materials and owns Doosan Tesna, a leading wafer-testing company in Korea's semiconductor back-end sector. By adding wafer manufacturing through SK Siltron, Doosan will expand its presence across multiple stages of chip production.
The combined portfolio is expected to allow Doosan to offer major customers, including Samsung Electronics and SK hynix, a broader range of semiconductor solutions encompassing wafer production, printed circuit board materials, and final testing services.
Looking ahead, Doosan projects that SK Siltron's wafer business will achieve average annual growth exceeding 7 percent and has set a target of approximately ₩3 trillion in revenue by 2031.
"This acquisition gives Doosan a new growth engine while also establishing a sustainable earnings base," a Doosan spokesperson said. The company added that SK Siltron will remain unlisted and that Doosan will continue focusing on long-term shareholder value through a stable and diversified business portfolio.
