Arcadis receives improved takeover approach from WSP Global

Netherlands-based design and consultancy firm Arcadis has confirmed it has received a second unsolicited takeover proposal from Canadian engineering company WSP Global.

In a statement, Arcadis said WSP submitted a “second unsolicited, conditional and non-binding proposal” for the acquisition of all issued and outstanding Arcadis shares. The revised offer values the company at €51.50 (US$58.64) per share, to be paid in a combination of cash and WSP stock.

The new proposal follows an earlier offer from WSP of €48.50 (US$55.22) per share, which also included a substantial stock component. Arcadis’ Executive Board and Supervisory Board unanimously rejected that initial bid, arguing that it failed to reflect the company’s intrinsic value, strategic position and long-term growth potential.

While Arcadis has not yet reached a decision on the revised proposal, the company reiterated its confidence in its standalone strategy. The boards stated that Arcadis remains well placed to generate significant value through the continued execution of its business plan.

The company also pointed to its first-quarter 2026 performance, highlighting positive operational momentum and progress against key strategic objectives.

Arcadis is expected to provide a further update on its strategy, financial performance and outlook when it releases its second-quarter and half-year 2026 results on 30 July 2026.
