IonQ Completes Acquisition of SkyWater Technology

IonQ (NYSE: IONQ), a leading quantum computing and networking company, has completed its acquisition of SkyWater Technology (NASDAQ: SKYT), the largest semiconductor foundry headquartered exclusively in the United States.

The acquisition marks a significant step in IonQ’s strategy to strengthen its position across the quantum technology ecosystem. By bringing SkyWater’s semiconductor manufacturing expertise in-house, IonQ aims to expand its capabilities in quantum chip fabrication, advanced packaging, manufacturing, and commercialization.

Niccolo de Masi, Chairman and CEO of IonQ, said the transaction reinforces the company’s ambition to become a key technology provider and ecosystem partner for the broader quantum industry. He noted that the combined organization will be better positioned to accelerate the development and deployment of quantum technologies while supporting growth across multiple quantum computing platforms.

De Masi added that integrating SkyWater’s manufacturing capabilities will help IonQ build a scalable domestic supply chain and advance its semiconductor-based approach to next-generation quantum computing systems. He emphasized that secure chip design, fabrication, and packaging will support greater vertical integration across IonQ’s quantum computing, networking, sensing, and security solutions.

SkyWater CEO Thomas Sonderman described the acquisition as a major milestone for the foundry’s future. He said joining IonQ creates new opportunities to accelerate the development of advanced quantum chips while maintaining the high-quality manufacturing services SkyWater provides to both commercial and government customers. Sonderman also stressed that SkyWater will continue serving its existing foundry customers while expanding access to quantum sensing and networking technologies.

Following the transaction, SkyWater will continue operating under its existing brand as a subsidiary of IonQ. Sonderman will remain in charge of the business and report directly to de Masi. The company will continue delivering its advanced technology, wafer manufacturing, advanced packaging services, atomic clock solutions, and quantum interconnect technologies.

Transaction Terms

Under the agreement, SkyWater shareholders will receive:

  • $15.00 in cash per SkyWater share

  • 0.4883 shares of IonQ common stock for each SkyWater share held at closing

The transaction closed after securing all necessary regulatory approvals.

IonQ expects to report second-quarter 2026 financial results on August 5, 2026, following the close of U.S. markets. The company also plans to host an investor day on September 8, 2026.
